About the Role

The Company is seeking a Senior Counsel for Corporate Transactions with a focus on M&A, strategic alliances, and antitrust work. The successful candidate will provide legal counsel on a range of transaction matters, from inception to integration or separation, and will be adept at coordinating with various subject matter experts. Responsibilities include acting as a liaison between business colleagues and legal experts, conducting legal due diligence, and drafting and reviewing transaction documents. The role also involves managing outside counsel, anticipating legal and deal issues, and designing strategies to mitigate risk. The ideal candidate will have a Juris Doctorate, a current license to practice law, and at least 8 years' experience as a business lawyer, with a preference for those with a background in the financial services sector. Applicants for the Senior Counsel position at the company should have a strong background in antitrust law, with transactional experience being highly valued. The role requires the ability to draft and negotiate a variety of transaction agreements, maintain good corporate governance, and support the development of legal strategies related to antitrust. The candidate must be a proactive problem solver, with excellent communication skills, and the ability to influence and negotiate effectively. A proven track record in risk mitigation and the ability to work across time zones in a matrixed environment are essential. The role also involves training legal and business colleagues, so a desire to share knowledge and develop expertise in relevant areas of law is important. The candidate must be willing to travel, both domestically and internationally, as the demands of strategic transactions require.
