Title: Corporate Attorney

Location: Denver, CO, Hybrid

Compensation: $100,000 - $155,000

Position Description:

Our outstanding client is seeking an attorney with 4+ years of experience in corporate transactions from a top

national or international firm.

Requirements:

JD from a top-tier law school.

Licensed to practice law in Colorado and lives in state.

4+ years of experience in a top national or international firm preferred.

Excellent written and verbal communication skills; adept at conveying complex issues concisely and effectively

with attorneys and clients; strong conflict resolution skills.

Well-organized and detail-oriented with an outstanding work ethic; capable of independently managing and

prioritizing numerous projects under deadline pressure.

Strong interpersonal skills; professional interaction with staff, attorneys, and clients.

Ability to identify legal issues and exercise sound judgment.

Strong sense of ownership over projects with a proactive approach to improving processes.

Comfortable taking direction from others on the legal team.

Proficiency with Microsoft Office applications (Word, Excel, PowerPoint, Outlook, etc.).

Ability to handle a fast-paced, constantly changing environment with flexibility and a sense of humor.

Responsibilities:

Review, edit, and draft contracts and documents for corporate transactions, including formations, early-stage

equity financing, credit finance, and mergers and acquisitions.

Conduct due diligence, prepare disclosure schedules, and manage capitalization tables.

Advise on corporate governance matters, prepare board and stockholder consents, take minutes, and prepare

certificates.

Participate in contract negotiations.

Collaborate with clients and subject matter experts to align corporate agreements with business objectives and

compliance requirements.

Prepare correspondence, memorandum, and contract documentation to support contract execution.

Years of Experience: 4+ years of experience in a top national or international firm.

Practice Focus: Corporate and transactional law, general practice firm

Compensation:

Competitive annual salary between $100,000 and $155,000, depending on experience.

Eligibility for performance and hour bonuses starting at 1450
