Robert Half is collaborating with a leading real estate development corporation to hire their first dedicated legal counsel . This exciting new position offers the chance to lead all legal initiatives and play a critical role in shaping the Ohio real estate landscape.
We are seeking a highly motivated and experienced Legal Counsel to join our growing team. This newly created position will play a pivotal role in supporting all legal initiatives across our diverse portfolio of real estate development projects, from inception to completion. The successful candidate will be a pragmatic, business-minded attorney with a deep understanding of real estate law and a strong ability to navigate complex transactions.
Key Responsibilities:
- Transactional Law: Draft, review, and negotiate a wide range of real estate documents, including purchase and sale agreements, leases (commercial, residential, ground leases), development agreements, joint venture agreements, construction contracts, and financing documents.
- Conduct thorough due diligence, including title and survey review, environmental assessments, zoning analysis, and regulatory compliance checks for potential acquisitions and developments.
- Manage and oversee the closing process for real estate acquisitions, dispositions, and financing transactions.
- Land Use & Zoning: Provide legal guidance on land use, zoning, entitlements, permitting, and other regulatory matters impacting development projects in Blue Ash and surrounding municipalities.
- Represent the company before governmental bodies and planning commissions as needed.
- Contract Management: Develop and maintain standard legal templates for various agreements.
- Ensure all contracts comply with applicable laws and company policies.
- Litigation Management & Dispute Resolution: Assist in managing and resolving real estate-related disputes, including landlord-tenant issues, construction disputes, and contract claims.
- Coordinate with and manage outside counsel when litigation is necessary.
- Corporate Governance & Compliance: Advise on general corporate legal matters as they relate to real estate development.
- Ensure compliance with all relevant federal, state, and local laws and regulations, including environmental laws, fair housing laws, and building codes.
- Stay abreast of changes in real estate law and provide proactive legal advice to the executive team.
- Risk Management: Identify and assess legal risks associated with real estate development projects and propose solutions to mitigate those risks.
- Develop and implement internal legal policies and procedures.
- Collaboration: Work closely with internal teams, including development, finance, construction, and property management, to provide timely and effective legal support.
- Build and maintain strong relationships with external stakeholders, including government officials, lenders, and other legal professionals.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in the State of Ohio
- 3+ years of experience (e.g., 5-8 years) practicing real estate law, with significant experience in real estate development transactions, preferably in-house or with a reputable law firm serving real estate developers.
- Proven expertise in drafting, negotiating, and reviewing complex real estate contracts.
- Strong understanding of land use, zoning, and environmental regulations in Ohio.
- Excellent analytical, problem-solving, and negotiation skills.
- Exceptional written and verbal communication skills, with the ability to convey complex legal concepts clearly and concisely to non-legal professionals.
