A Corporate Business Attorney provides comprehensive legal support to the company, ensuring compliance with corporate laws and regulations and facilitating smooth business operations. This role involves handling a wide range of legal matters, including corporate governance, mergers and acquisitions, contracts, and intellectual property issues.

Key Responsibilities

  1. Corporate Governance

    • Advise on corporate structure and governance matters.
    • Draft, review, and amend corporate bylaws, policies, and procedures.
    • Ensure compliance with state and federal corporate laws and regulations.
    • Prepare and file necessary corporate documentation, including articles of incorporation, annual reports, and board resolutions.
  2. Mergers and Acquisitions (M&A)

    • Lead legal due diligence for potential mergers, acquisitions, and other strategic transactions.
    • Draft and negotiate transaction documents, including purchase agreements, merger agreements, and ancillary documents.
    • Advise on structuring and negotiating M&A transactions to optimize legal and business outcomes.
    • Coordinate with financial advisors, accountants, and other stakeholders to facilitate transactions.
  3. Contracts and Agreements

    • Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, client contracts, confidentiality agreements, and licensing agreements.
    • Ensure that all contracts comply with applicable laws and regulations and protect the company's interests.
    • Provide ongoing legal support and advice regarding contract interpretation, enforcement, and dispute resolution.
  4. Compliance and Risk Management

    • Develop and implement compliance programs to mitigate legal risks.
    • Conduct regular audits and risk assessments to ensure adherence to legal and regulatory requirements.
    • Advise on potential legal issues related to business operations, providing proactive risk management strategies.
    • Handle internal and external legal investigations and audits.
  5. Intellectual Property

    • Manage the company’s intellectual property portfolio, including patents, trademarks, and copyrights.
    • Advise on intellectual property strategy and protection.
    • Handle IP-related disputes, including infringement claims and licensing issues.
  6. Employment Law

    • Advise on employment-related legal matters, including hiring practices, employee relations, terminations, and compliance with labor laws.
    • Draft and review employment contracts, non-compete agreements, and employee handbooks.
    • Address employment disputes and represent the company in employment litigation as needed.
  7. Litigation Management

    • Oversee and manage outside counsel handling litigation and disputes.
    • Develop litigation strategies and manage legal budgets.
    • Represent the company in mediations, arbitrations, and court proceedings as necessary.

Required Qualifications

  • Education : Juris Doctor (JD) degree from an accredited law school.
  • Licensure : Admission to the California State Bar.
  • Experience : Minimum of 2-4 years of corporate law experience, preferably in a law firm or in-house legal department.
  • Skills :
    • Strong knowledge of corporate law, contract law, and regulatory compliance.
    • Excellent negotiation and drafting skills.
    • Effective communication and interpersonal skills.
    • Strong analytical and problem-solving abilities.
    • Ability to manage multiple projects and work under pressure.

Work Environment
